TRANSFORM & THRIVE

1. Membership fee and payment

The current membership fee is US$97 per month.

Membership fees are payable in advance and will be charged automatically on each renewal date, unless the membership has been cancelled or terminated in accordance with this Agreement.

Membership continues on a monthly basis until cancelled by the Member or terminated by LHC in accordance with this Agreement.

We may change the membership fee by providing reasonable advance notice. A change will apply only from the Member's next renewal following that notice.

2. Membership entitlement

Each monthly membership period runs for 30 days from the Member's subscription or renewal date.

Membership includes one live 90-minute group Zoom coaching and mentoring session conducted by LHC during each monthly membership period, together with ongoing support throughout the membership period through the private Transform & Thrive WhatsApp group or another community channel designated by LHC.

If LHC offers two Club sessions within the same membership period, attendance at the second session is not included and requires an additional payment of US$97. The Member may decide whether to attend the second session on that basis.

The schedule, format and content of Club sessions may change when reasonably necessary.

3. Member participation

The Member is responsible for:

• Attending or accessing the sessions and resources made available through the Club.
• Participating in a respectful and constructive manner.
• Protecting their account, password and private access details.
• Ensuring that no unauthorised person accesses Club sessions, recordings or materials through their account.
• Creating and taking responsibility for their own decisions, actions and results.

Membership and its benefits are personal to the Member and may not be transferred or shared with another person.

4. Confidentiality

LHC will treat information shared by a Member during coaching sessions as confidential, including personal matters, future plans, business dealings and proprietary information.

Confidential information may be disclosed where:

• The Member gives permission.
• Disclosure is required by law.
• LHC reasonably believes that disclosure is necessary to address a serious and imminent risk of harm.
• Disclosure is required for LHC's professional, legal or operational purposes and appropriate confidentiality protections apply.

Because Transform & Thrive includes group sessions, every Member also agrees to protect the privacy and confidentiality of all other Members.

A Member must not disclose, copy, record, publish, discuss or otherwise share another Member's identity, experiences, circumstances, comments or personal information outside the Club without that person's express permission.

Each Member also agrees to keep strictly confidential any non-public information shared by LHC or its Founder & Principal Coach, Helen Lee, during Club sessions or through Club communications, posts or materials. This includes information of a personal or private nature and information relating to LHC's programs, processes, methodologies, tools, techniques, strategies and teachings.

A Member must not disclose, copy, record, publish, discuss, demonstrate, teach or otherwise share such information outside the Club without LHC's prior written permission.

These confidentiality obligations are additional to the intellectual-property protections in Clause 6 and continue after the membership ends.

5. Recordings

All Club sessions are recorded by LHC in both audio and video. By attending a Club session, the Member acknowledges and consents to their image, voice and contributions being recorded.

LHC may, at its discretion, occasionally make a recording available through a private, password-protected page or another secure platform for the personal use of authorised Members.

Members must not:

• Share passwords or access links.
• Copy, publish, upload, distribute, sell or transmit recordings.
• Provide recordings to any other person.
• Extract or reuse another Member's contributions.
• Use recordings or extracts for teaching, training, coaching, commercial or public purposes.

Members must protect the privacy of everyone appearing or speaking in a recording.

LHC does not guarantee that any recording will be made available or, if access is provided, that it will remain available for any particular period. Access may end when membership ends or at another time specified by LHC.

6. Intellectual property

All programs, program structures, processes, methodologies, tools, techniques, strategies, teachings, exercises, recordings, posts, written materials, multimedia content and other resources supplied through Transform & Thrive remain the intellectual property of LHC or their respective rights holders.

This includes, without limitation, Lee Heiss Coaching's proprietary concepts, programs and methodologies, including The Path of The Invincible™, Golden Globe Gateway™, Triple S Wisdom™, Deservability Quotient™, DQ™ and INVINCIBLE YOU!

Membership grants the Member a limited, personal, non-transferable right to access and use Club materials for their own personal development.

Unless LHC has given prior written permission, Members must not:

• Copy, reproduce, modify, adapt or distribute Club materials.
• Teach, demonstrate or provide LHC's programs, processes or methodologies to others.
• Incorporate Club content into their own professional or commercial services.
• Represent LHC's work or materials as their own.
• Use Club materials to create derivative programs, products, services or content.
• Use Club content to train or develop an artificial-intelligence system or similar technology.

The separate Terms of Use & Intellectual Property published by LHC also apply.

7. Nature of the coaching relationship

The Member understands that coaching is a collaborative developmental process.

The Member remains responsible for their own choices, decisions, actions and results. LHC does not control or guarantee any particular personal, professional, relationship, health, financial or other outcome.

Coaching is not psychological counselling, psychotherapy, psychiatric treatment, medical treatment, legal advice or financial advice. Members should obtain assistance from an appropriately qualified professional where required.

Nothing in this Agreement excludes any responsibility or liability that cannot lawfully be excluded.

8. Privacy and personal data

LHC will collect, use, disclose, store and protect personal data in accordance with its Privacy Policy.

The Privacy Policy forms part of this Agreement and is linked here and from the Transform & Thrive website or landing page.

Members should share during a group session only information that they are comfortable disclosing to the other participants. Every participant remains bound by the confidentiality obligations in this Agreement.

9. Cancellation

A Member may cancel their membership at any time.

Cancellation stops future renewals but does not provide a refund for the current membership period. The Member will retain the remaining Club membership benefits and any authorised access until the end of the period already paid for, unless access is terminated because of a breach of this Agreement.

Fees already paid are non-refundable, except where a refund is required by law or LHC ends a prepaid membership without cause before providing the paid membership entitlement.

10. Suspension or termination by LHC

LHC may suspend, decline to renew or terminate a membership where a Member:

• Breaches this Agreement.
• Violates another Member's confidentiality or privacy.
• Misuses access links, passwords, recordings, Club materials, private community access or other restricted resources.
• Behaves in a manner that is harmful, threatening, abusive or seriously disruptive.
• Fails to pay the applicable membership fee.
• Acts in a way that LHC reasonably considers incompatible with the safety, integrity or purpose of the Club.

Where membership is terminated because of the Member's breach, fees already paid will not be refunded.

LHC may also end a membership or discontinue the Club for operational or other legitimate reasons. Where LHC ends a prepaid membership without cause before providing the relevant entitlement, LHC will provide an appropriate refund or alternative arrangement for the unused portion.

11. Changes to the Club

LHC may reasonably change the Club's schedule, format, content, platform, benefits or method of delivery.

Where a change materially affects the Member's paid entitlement, LHC will provide reasonable notice wherever practicable.

12. Changes to this Agreement

LHC may update this Agreement periodically.

Minor changes will take effect when published on the applicable website. Members will be given reasonable notice of material changes by email or another appropriate method.

The 'Last updated' date will show when this Agreement was most recently revised.

13. Governing law and jurisdiction

This Agreement is governed by the laws of Singapore.

Any dispute arising from or relating to this Agreement or membership of Transform & Thrive will be subject to the jurisdiction of the courts of Singapore.
